Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Agenarys platform (“Platform”), operated by Stellarys Resonance LLC (“Company,” “we,” “us,” or “our”), including the website at agenarys.com, all AI agent services, and related tools and communications.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your business. By using the Platform, you represent that you meet these requirements.

2. Description of Services

Agenarys provides autonomous AI agent services for businesses, including but not limited to AI-powered phone answering, appointment scheduling, lead qualification, customer support, sales follow-up, content creation, operational monitoring, analytics reporting, and workflow orchestration. Services are provided across multiple tiers (Sentinel, Commander, and Sovereign) with varying agent configurations and feature sets as described on the Platform.

3. Account Registration

To use the Platform, you may be required to create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscription and Payment

Access to the Platform’s AI agent services requires a paid subscription. Subscription fees are billed monthly at the rate corresponding to your selected tier. All fees are quoted in U.S. dollars. Payment is due at the beginning of each billing cycle.

You authorize us to charge your designated payment method for all applicable fees. If payment fails, we may suspend or terminate your access to the Platform until payment is received. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

5. Free Trials and Demonstrations

We may offer free trials, demos, or promotional access at our discretion. We reserve the right to modify or discontinue any trial or promotional offering at any time. At the end of a trial period, your account will convert to a paid subscription unless you cancel before the trial expires.

6. Acceptable Use

You agree to use the Platform only for lawful business purposes and in compliance with all applicable laws and regulations. You may not use the Platform to transmit spam, unsolicited communications, or deceptive messaging; engage in any activity that violates consumer protection, telemarketing, or privacy laws; impersonate any person or entity; interfere with or disrupt the Platform’s infrastructure; attempt to gain unauthorized access to the Platform or its systems; use the Platform to harass, threaten, or harm any individual; or resell, sublicense, or redistribute the Platform services without our written consent.

We reserve the right to suspend or terminate your account for any violation of these terms.

7. AI Agent Interactions

You acknowledge that the Platform uses artificial intelligence to generate responses and perform actions on your behalf. While we strive for accuracy and reliability, AI-generated outputs may occasionally be incorrect, incomplete, or inappropriate. You are responsible for reviewing and supervising AI agent activity, ensuring AI agent communications comply with applicable laws in your industry and jurisdiction, and any decisions or actions taken based on AI agent outputs.

We do not guarantee that AI agents will perform without error, and we are not liable for any losses resulting from AI-generated content or actions.

8. Data Ownership

You retain ownership of all data, content, and materials you provide to the Platform (“Your Data”). By using the Platform, you grant us a limited, non-exclusive license to use, process, and store Your Data solely to provide and improve the services. We do not use Your Data to train general-purpose AI models.

We own all rights to the Platform, including its software, algorithms, agent configurations, interfaces, documentation, and any improvements or derivative works, regardless of whether they incorporate your feedback or suggestions.

9. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Platform. This includes business data, customer information, agent configurations, pricing terms, and technical specifications. Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.

10. Third-Party Services

The Platform may integrate with third-party services including but not limited to CRM systems, calendar tools, telephony providers, payment processors, and AI model providers. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

11. Service Availability

We strive to maintain high availability of the Platform but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make commercially reasonable efforts to provide advance notice of planned downtime.

12. Limitation of Liability

To the maximum extent permitted by law, Stellarys Resonance LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, loss of data, or business interruption, arising out of or related to your use of the Platform, regardless of the theory of liability.

Our total aggregate liability for all claims arising out of or related to these Terms or the Platform shall not exceed the total fees you paid to us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Stellarys Resonance LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or related to your use of the Platform, your violation of these Terms, your violation of any applicable law, or any content or data you provide through the Platform.

14. Termination

Either party may terminate the subscription at any time. If you cancel, your access will continue through the end of your current billing period. We may suspend or terminate your account immediately if you violate these Terms or if continued service poses a legal or security risk.

Upon termination, your right to use the Platform ceases. We will retain Your Data for up to 90 days following termination, after which it will be deleted unless retention is required by law.

15. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on the Platform with an updated effective date. Your continued use of the Platform after changes are posted constitutes acceptance. If you do not agree with the revised Terms, you must stop using the Platform.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising out of or related to these Terms or the Platform shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association, conducted in Hillsborough County, Florida. Each party waives the right to a jury trial and the right to participate in a class action.

17. General Provisions

These Terms constitute the entire agreement between you and Stellarys Resonance LLC regarding the Platform. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision does not constitute a waiver. You may not assign your rights under these Terms without our written consent. We may assign our rights at any time.
